Activities of commercial organizations with foreign investment in Belarus

Commercial organizations with foreign investment may engage in any type of activity that is not expressly prohibited by the laws of the Republic of Belarus and that is consistent with the objectives stated in the organization's charter.

Special permissions (licenses) are required for commercial organizations with foreign investment to engage in certain activities, the list of which is specified by the laws of the Republic of Belarus.

In addition to the information required by law, the following shall be listed in the constituent documents of a legal entity (certificate of state registration of individual entrepreneurs):

- Activities in which commercial organization or individual entrepreneur is or plans to be engaged, if such activities are subject to receipt of a special permission/license;
- Data on separate divisions of commercial organization (representative offices, branches);
- Subsidiary liability of:
    shareholders of an additional liability company per the company's obligations as determined by the constituent documents but at least equivalent to EUR 600;
    shareholders of a general full partnership and general partners of a limited partnership per the partnership's obligations;
    limited partners of a limited partnership per its obligations within the amount of their contributions;
    members of production cooperative, including agricultural production cooperative by liabilities of the cooperative in equal shares, but not less than the annual amount of profit earned in production cooperative;
    in other cases stipulated by the legislative acts of the Republic of Belarus.
