Amendments to constituent documents of commercial organizations with foreign investment in Belarus

In the event of any changes in the data contained in the constituent documents of a commercial organization with foreign investment in the instances established by the laws of the Republic of Belarus, the founders (participants) shall be obliged to introduce the appropriate amendments into the constituent documents within 30 days. Such events include the following:

- Establishment (liquidation) of separate legal entities (representative offices, branches);
- Change of owner of the assets or in the composition of the founders (participants) of the commercial organization with foreign investment, except for an open joint stock company, condominiums, consumers' cooperatives, horticultural cooperatives, associations, chambers of commerce and industry;
- Change of the objectives and types of activity, provided to engage in the new type of activity the organization should receive a permission (license), name (including those cases where the legal form of the legal entity is retained), location, charter fund amount, procedure for assets formation and profit distribution, solidarity and subsidiary liabilities of the owners of assets (founders, participants) of the organization, and other events, the information on which should be included into constituting documents in accordance with the legislation;
- Change in legislation involving amendments to the constituting documents, unless other terms are provided by the same legislation.
