Documents for registration of commercial joint organizations in Belarus

The registration of a commercial joint organization is subject to submitting by the foreign investor to the registration authority of the following documents:

- A written application by the founders (signed by all of the founders of the commercial joint organization);
- Two notarized originals or copies of the constituent documents of the commercial joint organization in paper and electronic form;
- For founders which are legal entities of the Republic of Belarus - a notarized copy of the decision of the property owner to establish a joint venture or a copy of the respective decision of the body authorized by the owner, as well as notarized copies of documents confirming the state registration and notarized copies of foundation documents (for each Belarusian legal entity);
- For founders which are individuals of the Republic of Belarus - the labor book certified with the seal of the organization of his/her last employment or a copy of the pension certificate certified by the social security bodies at the place of residence, or a certificate from the employment agency;
- For founding parties which are foreign legal entities (organizations) - a legalized extract from the trade register of the country of origin or other equivalent proof of the legal status of the foreign investor in accordance with the legislation of the country of incorporation or residence at the date of establishment of the commercial joint organization (the extract must be dated not later than one year prior to the submission of the registration application), with a translation into the Belarusian/Russian language (the translator's signature must be notarized);
- For founding parties which are citizens of foreign states - a copy of the passport with a translation into the Belarusian/Russian language (the translator's signature must be notarized);
- Documents confirming the formation of the charter capital (for commercial joint organizations established in the form of open joint stock companies);
- A letter of guarantee or other document confirming the right of the commercial joint organization to reside at its place of location;
- Sample illustration of corporate seal in duplicate;
- A document confirming the payment of the state registration fee.
